Terms of Service

1. Services

ToolMate AI (ABN: 12 456 352 027) ("Provider") provides AI-powered automation services including:

• InboxCommander — AI-powered email classification, priority scoring, and draft reply generation for Gmail inboxes, using construction-specific categorisation.
• QuoteMate — AI-powered extraction of scope of works documents and generation of formatted quotes using the Client's rate card.
• ComplianceBot — AI-powered generation of WHS compliance documents including SWMS, Job Safety Analyses, risk assessments, toolbox talk agendas, and incident report forms.

2. Fees

• Monthly subscription: as agreed during onboarding (standard bundle: $497/month + GST)
• One-time onboarding fee: $500 + GST
• Invoices are issued monthly via Stripe. Payment is due within 7 days.
• Late payments incur a 2% monthly fee on the outstanding balance.
• The Client may cancel at any time with 30 days written notice. No refunds for partial months.

3. Data & Privacy

• The Provider accesses the Client's Gmail inbox solely to provide the InboxCommander service. Email content is processed in real-time and is not stored permanently.
• Scope of works documents uploaded for QuoteMate are processed and deleted after quote generation unless the Client requests retention.
• Client company data is stored in a secure, access-controlled directory and used only to provide the contracted services.
• The Provider uses Anthropic's Claude AI API to process text. Anthropic does not train on API inputs.
• The Provider will not share, sell, or disclose Client data to any third party except as required by law.

4. Service Levels

• InboxCommander runs daily (or on a schedule agreed with the Client).
• QuoteMate and ComplianceBot are available on-demand during business hours (Mon-Fri, 8am-6pm AEST).
• The Provider will respond to support requests within 24 business hours.
• The Provider does not guarantee 100% uptime and is not liable for disruptions caused by third-party services (Google, Anthropic, etc.).

5. Limitations

• QuoteMate generates quotes based on the Client's rate card and the scope document provided. The Provider is not responsible for pricing accuracy — the Client must review all quotes before sending.
• ComplianceBot generates compliance documents based on current WHS legislation templates. The Provider is not a legal or WHS advisory service. Documents should be reviewed by a competent person before use on site.
• The Provider is not liable for any loss, damage, or penalty arising from the use of generated documents.

6. Intellectual Property

• The Client owns all documents generated by the services (quotes, SWMS, etc.).
• The Provider retains ownership of all tools, scripts, workflows, and AI prompts used to deliver the services.

7. Termination

• Either party may terminate with 30 days written notice via email.
• Upon termination, the Provider will delete all Client data within 14 days and confirm deletion in writing.
• Outstanding fees remain payable upon termination.

8. General

• This agreement is governed by the laws of New South Wales, Australia.
• Disputes will be resolved through good-faith negotiation before any legal action.
